You hereby agree to indemnify, defend, and hold harmless Hovapay and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses, including but not limited to attorney fees, arising out of or related to any breach of this agreement, negligence, willful misconduct, or violation of any applicable laws or regulations by you.

This indemnity clause shall be governed by and construed in accordance with the laws of Nigeria, and any disputes arising under or related to this clause shall be subject to the exclusive jurisdiction of the courts of Port Harcourt, Nigeria.

7 SECURITY AND UNAUTHORISED USE

You are responsible for all transactions conducted using your computer, mobile phone, tablet, or other electronic device ("Device"), payment card, or account. It is your responsibility to keep all of these secure. All passwords must be kept secret.

We accept no liability for any unauthorized use of your Device, payment card, account, or any application you use in connection with the Platform. In the event your Device has been stolen or there is an unauthorized access to your payment card or account, it is your responsibility to immediately notify your bank to restrict transactions.

8 FAILED TRANSACTIONS AND REVERSALS

In the event of a failed transaction (i.e. user has been debited for transaction, but value was not received), please send the following details to support@hovapay.ng for resolution:

• User's mobile number
• Transaction amount
• Transaction date
• Transaction type
• Any other details we request to enable us resolve your complaint

We shall use our best endeavors to liaise with the applicable financial institution, telecommunication company, and/or merchant to resolve your logged transaction issue.

9 DISCLAIMER

Our website and services are provided "as is" without any express, implied, and/or statutory warranties (including, but not limited to, any implied or statutory warranties of merchantability, fitness for a particular use or purpose, title, and non-infringement of intellectual property rights). HovaPay makes no warranty that our website and services will meet your requirements or that our website will be uninterrupted, timely, secure, or error-free.

10 LIMITATION OF LIABILITY

Hovapay, its officers, and employees shall in no event be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profit, loss of business information, or any other pecuniary loss) arising out of or in connection with Hovapay website or services.

11 SEVERABILITY

If any term or provision of these Terms and Conditions is determined to be illegal, unenforceable, or invalid, such provision shall be stricken, and the remaining provisions shall continue in full force and effect.

12 WHOLE AGREEMENT

These Terms and Conditions, together with Hovapay's Privacy Policy, constitute the entire agreement between you and Hovapay in relation to your use of this website.

13 ASSIGNMENT AND SUBCONTRACTING

Neither Hovapay nor you shall assign any or all of its obligations under these Terms and Conditions to any third party without the prior written consent of the other party.

15 DISPUTE RESOLUTION

The laws of the Federal Republic of Nigeria shall govern these Terms and Conditions. Any dispute arising from these Terms and Conditions shall be settled in accordance with the Arbitration Rules of the Arbitration and Conciliation Act, Cap. A18, Laws of the Federation of Nigeria 2004. The venue of Arbitration shall be Port Harcourt, Nigeria.
